Terms & Conditions
> Operational draft describing how the WESAL platform works. It must be reviewed by a lawyer licensed in the Kingdom of Saudi Arabia before final adoption. Nothing here states that the platform holds any licence or official certification unless explicitly announced with its number.
1. Definitions
- Platform / WESAL: the online marketplace connecting stores with suppliers and sales representatives. - Store: a registered retail business or supermarket buying for commercial purposes. - Supplier: a company, brand or distributor that lists, sells and delivers its products. - Representative: an independent or company sales representative working for a supplier under a valid authorization. - Authorization: a recorded approval from a supplier defining the products, areas, commission and period a representative may work within.
2. The platform's role
1. WESAL is a technology intermediary for listing, ordering, communication and record-keeping. 2. The platform does not own goods or sell them in its own name; the sale contract is between the store and the supplier. 3. The platform is not a courier; the supplier delivers, directly or through its own contractors, at its own responsibility. 4. The platform does not receive or hold purchase funds; the store pays the supplier directly and the platform only records the collection status entered by the parties.
3. Registration & accounts
- Users must provide accurate, current information, including commercial registration and VAT number where applicable. - The platform may request verification documents and suspend an account until they are provided. - Users are responsible for their credentials; two-factor authentication is recommended and mandatory for administrators. - A business may add team members with defined permissions and remains responsible for their actions.
4. Orders
1. Direct order: created by the store and sent to the supplier. 2. Representative order: prepared by a representative within their authorization; it becomes binding only after the store explicitly approves the presented version (items, quantities, prices, offers, delivery date). 3. Any material change by the supplier (price, quantity, substitute item) requires a new store approval. 4. An immutable snapshot of each order is stored at approval time as evidence. 5. Prices are set by the supplier; representatives cannot change prices beyond what the supplier allows in the system.
5. Prices & VAT
- Prices are shown in Saudi riyals (SAR) and indicate whether VAT is included. - The supplier is responsible for pricing and for issuing a compliant tax invoice to the store under ZATCA requirements.
6. Delivery & receipt
- The supplier commits to the delivery dates in the order and updates the shipment status. - The store checks the delivery on receipt and records any shortage or damage within the periods in the Returns Policy.
7. Commissions
Representative commissions are calculated under the commission agreement linked to the authorization and the Commission Policy; the supplier pays the representative directly and the platform records the payout evidence.
8. Acceptable use
Prohibited: impersonation, counterfeit or prohibited products, rating manipulation, attempts to access other businesses' data, circumventing regulations, and spam.
9. Liability
- Each party is responsible for its contractual obligations to the other. - The platform does not guarantee product quality or party performance but provides documentation, complaint and rating tools. - To the extent permitted by law, the platform's liability is limited to subscription fees paid in the three months before the event.
10. Suspension & termination
The platform may suspend or close an account for breaching these terms or applicable law, notifying the user of the reason; the user may appeal through the complaints system.
11. Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law and the Personal Data Protection Law (PDPL); Saudi courts have jurisdiction.
12. Changes
Changes are published with a new version number and notified to users a reasonable time before taking effect.
