Representative Agreement

> Draft requiring legal review, including how labour and freelance regulations apply to the representative–supplier relationship.

1. Relationship

- An independent representative works on their own account and may work with several companies, provided they hold a valid, active authorization from each. - A company representative works within a registered business that manages their permissions. - The platform is not the representative's employer and pays no wage or commission.

2. Authorization

1. The representative requests or receives an authorization; it takes effect only after they accept the presented terms. 2. The representative works only within the authorized products, areas and period; the system automatically rejects anything outside scope. 3. Expiry or suspension immediately blocks new orders for that supplier.

3. Orders

- The representative prepares the order and sends it to the store; it is confirmed only by the store's explicit approval. - Representatives may not change prices, grant discounts the supplier did not set, or present an order as approved. - Representatives may not collect money on behalf of the supplier unless authorized in writing by the supplier outside the platform, at both parties' responsibility.

4. Visits & location

Location capture is optional and requires consent at each check-in; there is no background tracking.

5. Commission

- Calculated under the commission agreement linked to the authorization and the Commission Policy. - Moves through: estimated → pending → due → approved → paid, and may be adjusted for returns or cancellation. - The supplier pays directly; the representative may dispute within the stated period.

6. Professional conduct

Honest product presentation, respect for the store's decision, no disparagement of competitors, and confidentiality of customer data.

7. Ratings

Stores and suppliers may rate the representative under the Ratings Policy; the representative may reply and dispute.
