Supplier Agreement

> Draft requiring legal review before adoption.

1. Scope

Governs a supplier's (company, brand, distributor or manufacturer) use of WESAL to list products, receive orders and manage representatives.

2. Supplier obligations

1. Provide a valid commercial registration, VAT number and accurate contact details. 2. List lawful, genuine products with accurate data (name, unit, barcode, images, storage, shelf life). 3. Set its own prices, price lists and promotions and be responsible for their accuracy. 4. Review orders within a reasonable time, honour what it approves, and never change an approved order without a new store approval. 5. Deliver itself or through its contractors, update shipment status, and bear the risk of goods until the store receives them. 6. Issue the tax invoice to the store and collect payment directly from the store. 7. Handle returns and complaints under the published policies.

3. Representatives

- No representative may work for the supplier without a valid authorization defining products/categories, areas, commission, start and end dates. - The supplier may suspend or cancel an authorization with a reason; commissions on orders completed before suspension remain payable under the Commission Policy. - The supplier pays representatives' due commissions directly and records payout evidence on the platform.

4. Customers

No party has absolute ownership of a customer; the platform records the acquisition source and history for commission and reporting purposes.

5. Fees

Published subscription or service fees apply once activated; changes are notified in advance.

6. Data

The supplier uses store and representative data only to perform transactions, complies with the PDPL, and may not export it for purposes outside the platform without a legal basis.

7. Suspension

The platform may suspend a supplier for non-compliant products, repeated order failures, or false documents.

8. Termination

Either party may terminate on notice, completing open orders and settling due commissions.
